Terms of Service

The agreement that governs your use of this website and the QuezBridge platform, including eligibility, acceptable use, disclaimers, and limits of liability.

1. Agreement to these terms

These Terms of Service ("Terms") are a legal agreement between you and QMM, Inc. (d/b/a QuezBridge) governing your access to and use of the QuezBridge website and platform (the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

If you use the Services on behalf of a practice or organization, you represent that you are authorized to bind that entity, and "you" includes that entity.

2. Eligibility and professional responsibility

The clinician-facing Services are intended for licensed mental-health professionals and their authorized staff. You are responsible for holding and maintaining all licenses, credentials, and registrations required for your practice, and for complying with the laws, regulations, and professional and ethical standards that apply to you.

QuezBridge supports your clinical judgment; it does not replace it. You remain solely responsible for the care you provide, for all clinical decisions, for documentation you sign, and for what you bill. The Services are tools you direct and control.

3. Accounts and security

  • You must provide accurate information and keep your credentials confidential.
  • You are responsible for activity under your account and must notify us promptly of any unauthorized use.
  • We may suspend or terminate access to protect the Services, other users, or to comply with law.

4. Acceptable use

Your use of the Services is subject to our Acceptable Use Policy, which is incorporated into these Terms. In short, you may not misuse the Services, use them unlawfully, attempt to breach security, or rely on them for emergency or crisis response.

5. Health information and HIPAA

To the extent you use the Services to create, receive, maintain, or transmit protected health information, that use is governed by our HIPAA & Business Associate terms and the Business Associate Agreement between us and your practice, which control over these Terms with respect to PHI.

6. Intellectual property and your content

The Services, including software, content, and trademarks, are owned by QMM, Inc. or our licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Services as permitted by these Terms.

You retain your rights in the content and data you submit. You grant us the limited rights needed to operate and provide the Services to you. We do not claim ownership of your clinical records, and we do not use patient data to train models except as expressly permitted by the HIPAA & Business Associate terms and applicable law.

7. Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

The Services do not provide medical advice, diagnosis, or treatment and are not a substitute for professional clinical judgment or emergency care. See our Medical & Safety Disclaimer.

8. Limitation of liability

To the maximum extent permitted by law, QMM, Inc. and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or relating to the Services.

To the maximum extent permitted by law, our total liability for all claims relating to the Services will not exceed the greater of the amounts you paid us for the Services in the twelve months before the claim, or one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

9. Indemnification

You agree to indemnify and hold harmless QMM, Inc. from claims, losses, and expenses arising out of your use of the Services, your violation of these Terms, or your violation of any law or the rights of a third party, including claims relating to the care you provide.

10. Term and termination

You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms, if required by law, or to protect the Services or other users. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitation of liability, and indemnification.

11. Governing law and disputes

These Terms are governed by the laws of the State of Ohio, United States, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Ohio for any dispute not subject to an alternative agreed process. Nothing here limits either party from seeking injunctive relief.

12. Changes to these terms

We may update these Terms from time to time. Material changes will be posted here with a new "updated" date; continued use after changes take effect means you accept the updated Terms.
